1. What this software is
The Camp Myrtlewood Contract Invoicing Integration ("the Integration") is internal software built and operated by Camp Myrtlewood, Inc. ("Camp Myrtlewood", "we", "us"), an Oregon 501(c)(3) non-profit corporation.
The Integration connects Camp Myrtlewood's own Google Workspace account to Camp Myrtlewood's own QuickBooks Online company file. When a school district returns a signed Outdoor School contract, it prepares a draft invoice in QuickBooks Online for staff to review.
The Integration is not a commercial product. It is not distributed, sold, licensed or made available to any other organisation, and it cannot be installed against any QuickBooks company other than Camp Myrtlewood's own.
2. Who may use it
Use is limited to employees, officers, directors and authorised contractors of Camp Myrtlewood acting in that capacity. No other person is granted any right to access or operate the Integration.
School districts and other customers who submit contracts to Camp Myrtlewood are not users of the Integration. They interact only with Camp Myrtlewood's public web forms and receive documents by email in the ordinary course of business.
3. Licence
Camp Myrtlewood grants its authorised users a non-exclusive, non-transferable, revocable licence to use the Integration for Camp Myrtlewood's internal business purposes. All rights not expressly granted are reserved.
You may not copy, distribute, sublicense, sell, reverse-engineer or make the Integration available to any third party, or use it to access any QuickBooks company file other than Camp Myrtlewood's.
4. Acceptable use
Authorised users must not use the Integration to access, alter or delete financial records other than in the ordinary course of their duties; to circumvent QuickBooks Online access controls; or in breach of any applicable law, or of Intuit's own terms of service.
5. Relationship to Intuit
Intuit Inc. is not a party to this agreement. Intuit does not endorse, sponsor, support or warrant the Integration, and has no responsibility or liability for it. Use of QuickBooks Online is separately governed by your agreement with Intuit. Nothing here overrides that agreement.
6. No warranty
The Integration is provided "as is", without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose or non-infringement.
Invoices prepared by the Integration are drafts. They are not sent to any customer until a member of Camp Myrtlewood staff reviews and sends them. Camp Myrtlewood staff remain responsible for the accuracy of every financial record.
7. Limitation of liability
To the fullest extent permitted by law, Camp Myrtlewood is not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, revenue or profits, arising from use of the Integration.
8. Changes and termination
Camp Myrtlewood may modify, suspend or withdraw the Integration at any time, and may revoke any user's access at any time. We may update this agreement; the current version will always be published at this address.
9. Governing law
This agreement is governed by the laws of the State of Oregon, United States, without regard to its conflict-of-law rules.
